A Resolution Honoring the Retirement of John H. “Josh” Fitzhugh

WHEREAS, Josh Fitzhugh has served as a member of the Board of Directors of the Company since 2008;

WHEREAS, Josh Fitzhugh has retired from the Board of Directors on February 24, 2021;

WHEREAS, Josh Fitzhugh has been an invaluable counselor to this Board of Directors and to the management and employees of the Company, serving in various leadership capacities for the Company, including President and Chief Executive Officer, Chair of the Board of Directors and member of numerous Committees;

WHEREAS, during his tenure, the Company:

  • Converted to a modern, leading edge policy administration system;
  • Achieved 8 consecutive years of sub-100 combined ratio;
  • Grew surplus over $100MM;
  • Named to the Ward’s Top 50 in 2018; and
  • Achieved the honor of “Best Place to Work” in Vermont for 8 years in a row.

WHEREAS, over his career with the Company, Josh Fitzhugh distinguished himself with his deep knowledge and abilities related to legal and industry matters, and the expertise and leadership developed during that career has been invaluable to the Company during his tenure;

WHEREAS, Josh Fitzhugh has also pursued the enhancement of the Central Vermont community, both personally and professionally, as evidenced by his past involvement with civic, pious, and charitable organizations;

WHEREAS, the members of the Board of Directors wish to thank Josh Fitzhugh for his many contributions to the Board of Directors and to the Company by contributing in his honor to the Vermont Maple Sugar Makers Association; and

NOW THEREFORE, BE IT RESOLVED, that the Board of Directors hereby expresses its gratitude to Josh Fitzhugh for his service on the Board of Directors, for [is sound business advice and valued counsel and for all that he has contributed to the Board of Directors and to the Company; and

FURTHER RESOLVED, that the Board of Directors wishes Josh Fitzhugh continued success in all his endeavors and expresses our hope for his continued health, happiness, and prosperity.

FURTHER RESOLVED, that a copy of this resolution be presented to Josh Fitzhugh as a token of our respect.
